Welcome to Scuti! These Terms of Service (“Agreement”) govern your access to and use of the Scuti platform, website (scuti.cc), and related analytics services (collectively, the “Services”), operated by Datapay Inc. (“Datapay,” “Scuti,” “we,” “us,” or “our”).
By accessing or using the Services, or by clicking a button marked “I Agree” (or similar), you signify that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you may not use the Services.
PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
1. The Services
Scuti is an AI-powered, cross-platform data analytics tool designed for businesses. We provide a platform that connects to your third-party data sources, processes natural language questions using Artificial Intelligence (AI), generates SQL queries, and visualizes business metrics. Our Services are intended strictly for commercial and business use, not for personal or household purposes.
2. Eligibility and Account Registration
You must be at least 18 years old and capable of forming a binding contract to use the Services. If you are opening an account on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Artificial Intelligence & Generative Outputs
Scuti relies on advanced Artificial Intelligence (such as third-party Large Language Models) to interpret your questions, write SQL queries, and provide strategic business insights[1]. By using the Services, you acknowledge and agree that:
- AI is imperfect: Generative AI can produce outputs that are inaccurate, incomplete, or factually incorrect (“hallucinations”).
- Verification is required: You are solely responsible for reviewing and verifying the accuracy of any charts, data, ROI calculations, or strategic advice generated by Scuti before making any financial, operational, or business decisions.
- Input and Output Ownership: As between the parties, you retain all rights in your queries and prompts (“Inputs”)[1][2][3]. Datapay Inc. hereby assigns to you all right, title, and interest in and to the charts, dashboards, and analytical text generated and returned to you (“Outputs”)[1][2][3]. You are solely responsible for ensuring that your Inputs and use of the Outputs comply with applicable laws[1][3]. Datapay Inc. retains all Intellectual Property Rights in the underlying platform, system prompts, algorithms, and formatting parameters used to generate the Outputs[1][2].
- AI Security & Abuse: You strictly agree not to use techniques designed to bypass AI safety filters, extract proprietary system instructions (prompt injection/jailbreaking), or use the Services (including any Outputs) to train, develop, or fine-tune a competing artificial intelligence model or analytics platform.
- No Liability: Scuti acts as an analytical co-pilot, not a certified financial or legal advisor. Datapay Inc. assumes no liability for any loss of revenue, increased ad spend, or business damages resulting from decisions made based on AI-generated outputs[3].
4. Third-Party Integrations and Data Sources
To function, Scuti allows you to connect third-party platforms (e.g., Stripe, Shopify, Google Ads, databases) via our integration partners (e.g., Fivetran).
- Authorization: You represent and warrant that you have the legal right and necessary permissions to connect these data sources and allow Datapay to access, process, and analyze this data on your behalf.
- Third-Party Changes: We are not responsible for the performance, uptime, or data accuracy of third-party platforms. If a third party (e.g., Meta or Google) changes its API, it may temporarily disrupt Scuti’s ability to sync your data.
5. Acceptable Use Policy
You agree not to engage in any of the following prohibited activities:
- Copying, distributing, or disclosing any part of the Services in any medium, including automated or non-automated “scraping.”
- Using any automated system (robots, spiders) to send more requests to our servers than a human could reasonably produce.
- Attempting to interfere with, compromise the system integrity, or decipher any transmissions to or from the servers running the Services.
- Reverse engineering, decompiling, or attempting to extract the source code or underlying AI prompts of the Services[2][3].
- Using the Services to process illegal, highly sensitive (e.g., health records/HIPAA), or malicious data.
6. Proprietary Rights and Data Ownership
- Your Data: You retain full ownership of all the business data you connect to Scuti (“Customer Data”). You grant us a limited, non-exclusive license to access, process, and store this data solely to provide the Services to you. As stated in our Privacy Policy, we do not use your private Customer Data to train public AI models.
- Our Technology: Datapay Inc. retains all Intellectual Property Rights in the Scuti platform, including its software, UI/UX, database architecture, AI routing logic, and pre-built templates[2].
- Publicity Rights: By subscribing to the Services, you grant Datapay Inc. the right to use your company name and logo on our website and promotional materials strictly to identify you as a customer. You may opt-out of this at any time by emailing hi@scuti.cc.
7. Fees, Payments, and Subscriptions
- Billing: Scuti is offered on a subscription basis. By selecting a paid tier, you agree to pay all applicable fees in US Dollars. Subscriptions automatically renew (monthly or annually, depending on your choice) unless canceled prior to the renewal date.
- Taxes: Fees are exclusive of taxes. You are responsible for any applicable sales or use taxes.
- Cancellations & Refunds: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle. Payments are non-refundable, and we do not provide prorated refunds for partial months.
8. No Professional Advice
Any strategic recommendations, financial summaries, or marketing insights generated by Scuti are for informational purposes only. They do not constitute professional accounting, financial, investment, or legal advice[3].
9. Indemnity
You agree to defend, indemnify, and hold harmless Datapay Inc., its affiliates, officers, and employees from any claims, damages, obligations, losses, or expenses arising from: (i) your use of the Services; (ii) your violation of this Agreement; (iii) your violation of any third-party rights, including data privacy rights regarding the databases you connect to Scuti; or (iv) any business decisions or financial losses incurred based on Scuti’s AI outputs.
10. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATAPAY INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, COMPLETELY SECURE, ERROR-FREE, OR THAT THE AI OUTPUTS WILL BE 100% ACCURATE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DATAPAY INC. BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO DATAPAY INC. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
12. Governing Law and Arbitration
- Governing Law: This Agreement shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles.
- Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration conducted in Delaware, rather than in court, except that either party may seek injunctive relief in court to prevent intellectual property infringement.
- Class Action Waiver: ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
13. General Provisions
- Modifications: We may modify this Agreement from time to time. We will notify you of material changes via email or platform notification. Continued use of the Services constitutes acceptance of the updated terms.
- Severability: If any provision of this Agreement is held invalid, the remainder of the Agreement shall continue in full force and effect.
- Force Majeure & Third-Party Outages: Datapay Inc. shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, cyberattacks, or the prolonged downtime, rate-limiting, or suspension of essential third-party APIs (including data pipeline providers and Large Language Model providers).
